Job Summary:
We are looking for an experienced Legal Associate to join our team in Singapore. The ideal candidate should have a strong foundation in Singapore law, GDPR compliance and preferably Indian law, with the ability to navigate cross-jurisdictional legal landscapes. With 4-6 years of legal experience, ideally in a startup environment, you will play a crucial role in ensuring our company remains compliant with applicable regulations and corporate governance standards. This role will work in tandem with the other operational teams depending on organizational needs.
Key Responsibilities:
1. Legal Advisory on Singapore Law, and GDPR:
- Singapore Law: Offer comprehensive legal counsel on Singapore's legal system, focusing on corporate law, data protection, employment law, and regulatory compliance. Stay updated on legal developments and provide proactive guidance on any changes.
- GDPR Compliance: Provide in-depth advice on General Data Protection Regulation (GDPR) and its application to business processes. Ensure that the company’s policies, procedures, and contracts align with GDPR obligations.
2. Compliance and Risk Management:
- Regulatory Compliance: Develop and oversee a framework to ensure the company complies with Singaporean regulations, including GDPR, PDPA (Personal Data Protection Act), and other relevant laws.
- Internal Audits: Conduct internal audits and legal assessments to identify gaps in compliance, provide risk mitigation strategies, and recommend corrective actions where necessary.
- Training & Awareness: Prepare or coordinate regular legal training sessions for employees on GDPR, data privacy, and compliance obligations to ensure the entire organization is aligned with legal requirements.
3. Contract Drafting, Review, and Negotiation:
- Drafting & Reviewing Contracts: Prepare, review, and revise contracts, non-disclosure agreements (NDAs), service agreements, and other legal documents to protect the company's interests.
- Negotiations: Lead contract negotiations with third parties, suppliers, and service providers, ensuring that the company’s legal and financial risks are minimized.
- Cross-Border Agreements: Draft or review contracts involving cross-jurisdictional elements, particularly between Singapore and India, ensuring adherence to legal standards in both countries.
4. Corporate Governance and Regulatory Filings:
- Corporate Compliance: Support corporate governance matters, including board meetings, shareholders’ agreements, and statutory filings, ensuring compliance with Singapore Companies Act and related regulations.
- Regulatory Filings: Manage the preparation and submission of mandatory filings with relevant authorities, including annual returns, regulatory updates, and other filings as required under Singapore law.
5. Employment Law and HR Support:
- Labor and Employment Law: Provide guidance on employment contracts, policies, and workplace regulations, ensuring compliance with Singaporean employment law and handling any disputes or legal challenges related to employee matters.
- HR Legal Support: Support the HR team in handling sensitive employee-related matters, including terminations, severance agreements, and disciplinary actions, ensuring that all legal aspects are properly addressed.
Qualifications:
- Educational Background: Bachelor’s degree in Law (LLB) or equivalent from a recognized institution.
- Experience: 4-6 years of experience in legal practice with hands-on experience in GDPR and Singapore law; familiarity with Indian law is highly desirable.
- Startups: Previous experience working in or advising startups is a plus.
- Skills: Strong legal research, communication, and negotiation skills with the ability to manage complex legal matters independently.
Desired Skills and Competencies:
- GDPR Expertise: A deep understanding of GDPR requirements and its application in business operations.
- Singapore Legal Framework: Strong knowledge of Singaporean legal requirements, including corporate governance, employment law, and data protection regulations.
- Corporate Acumen: Exposure to legal work within a finance team or corporate legal department handling finance-related matters is an added advantage.
- Candidates with exposure to Indian laws and regulations will earn brownie points
